so It seems like ADOR just sued NJs but their lawsuit is quite different than what I expected. Usually the lawsuit will be something like breach of exclusive contract but ador is suing to prove that nj has no reason to break their contract, right? does it usually work like this ?

I think the thing aabout mhj putting a clause in their contract that they can terminate it at any given moment might be true but then what if ador proves that they did positively respond to their demands.... I have to say this has to be the most confusing lawsuit

that's indeed not how it usually goes and you're right, they're suing to prove the grounds for termination were null, in which case nj stays and they get compensation.
